2. Description and Acceptance of the Service

Dispatchy is a cloud-based (SaaS - Software as a Service) email delivery and automation infrastructure. Users can manage their subscribers and create automated campaigns using the platform.

By registering on the website (creating an account), the User expressly and irrevocably accepts these Terms of Service (hereinafter: ToS). If the User registers on behalf of a company, they declare that they are authorized to represent the company and accept these ToS.

3. Account Registration and Security

• The User is obliged to provide real, accurate, and up-to-date data during registration.
• The User is solely responsible for keeping the login details (password) belonging to their account secret. The Provider assumes no responsibility for damages resulting from the unauthorized use of the password.
• The User is obliged to immediately notify the Provider if they notice any unauthorized use of their account or any security breach.

4. Terms of Use and Anti-SPAM Policy

The User expressly undertakes and guarantees that they:

• Will only send emails to persons who have previously given their verifiable consent (Double Opt-in is recommended). The use of purchased, rented, or "scraped" mailing lists is strictly prohibited.
• Will not use the service to send SPAM (unsolicited promotional emails).
• Will obligatorily provide a one-click, immediate unsubscribe option in every email sent, and will not send future emails to unsubscribed persons.
• Will not send contents that are illegal, deceptive (phishing), contain malicious codes (malware), defamatory, or violate copyright.

5. Intellectual Property Rights

All elements of the Dispatchy platform, including the source code, algorithms, design, logos, and textual contents, are the exclusive intellectual property of the Provider (SYNTAX-ENCODE Kft.). The User is not entitled to copy, reverse engineer, or modify the source code of the software.

At the same time, the data uploaded to the system by the User (e.g., mailing lists, email templates, sent contents) are the exclusive property of the User, to which the Provider claims no rights.

6. Subscription and Payment Terms

The use of the service is subject to a fee after the free trial period or the Free Tier.

• Fees are paid via monthly or annual recurring credit card deductions through the secure Stripe system. The Provider does not store and does not know the card details.
• The Provider issues an electronic invoice for successful payments, which is forwarded to the email address provided by the User.
• The subscription can be canceled at any time before the end of the billing cycle. The cancellation takes effect on the next anniversary date. For already paid but unused periods, the Provider does not provide a refund (No Refunds), beyond the right of withdrawal provided by law.

7. Limitation of Liability and Availability

The Provider makes every effort to ensure a high, 99.9% availability of the system and a high delivery rate of emails (through the AWS SES infrastructure).

• However, the Provider cannot guarantee that the receiving servers (e.g., Gmail, Yahoo, corporate servers) will always sort the messages into the "Inbox", as this is also influenced by the User's domain reputation and the content of the email.
• The service operates on an "As Is" and "As Available" basis. The Provider disclaims all implied warranties.
• The Provider expressly excludes its liability for any indirect damages, lost profits, or loss of business opportunities resulting from any outage of the service, data loss, or delivery failures.
• The liability for damages of the Provider – if it cannot be excluded by law – extends up to a maximum of the fee paid by the User for the service in the last 12 months.

8. Termination of Contract

The User is entitled to delete their account at any time through the system interface, which also means the termination of this contract.

The Provider is entitled to terminate the contract with immediate effect and terminate the User's access if the User seriously violates any point of these ToS – especially the SPAM policy. In such a case, there is no possibility to reclaim already paid fees.

9. Governing Law and Jurisdiction

Hungarian law governs this contract. The Parties will primarily attempt to settle their disputes amicably. In the event of its ineffectiveness, the Hungarian courts at the seat of the Provider (Veszprém Regional Court / Veszprém District Court) shall have exclusive jurisdiction to judge the legal dispute.
